Contrat de licence d'utilisateur final

Le présent contrat de licence d'utilisateur final (« Contrat ») intervient entre vous (« vous » ou « Utilisateur ») et GNAK Assist (« nous » ou le « Service »), un produit de GNAK.CA. En créant un compte ou en utilisant le Service, vous acceptez les conditions ci-dessous.

1. Service

GNAK Assist est une plateforme infonuagique de gestion (ERP) destinée aux entrepreneurs en construction, notamment en électricité : soumissions, projets, feuilles de temps, facturation, catalogue de produits et achats. Le Service comprend des intégrations optionnelles, dont la synchronisation avec QuickBooks Online (« QuickBooks ») au moyen des identifiants OAuth 2.0 que vous autorisez.

2. Votre compte

Vous êtes responsable de préserver la confidentialité de vos identifiants de compte et de toute activité effectuée sous votre compte. Avisez-nous immédiatement de toute utilisation non autorisée.

3. Vos données

Vous demeurez propriétaire de toutes les données que vous confiez au Service — vos clients, projets, documents, produits et écritures, ainsi que les données de votre entreprise QuickBooks lorsque vous connectez l'intégration. Nous traitons ces données uniquement pour fournir les fonctions du Service que vous utilisez. Nous ne vendons ni ne partageons vos données avec des tiers, sauf si la loi l'exige.

4. Utilisation acceptable

Vous vous engagez à ne pas :

• utiliser le Service à des fins illégales, ni — lorsque vous utilisez la synchronisation comptable — en violation des conditions d'utilisation de QuickBooks Online d'Intuit;
• tenter d'obtenir un accès non autorisé au Service ou aux données d'autres utilisateurs ou d'autres entreprises;
• faire de l'ingénierie inverse, décompiler ou autrement tenter de dériver le code source du Service, sauf dans la mesure permise par la loi;
• nuire au Service ou à son infrastructure ou les perturber.

5. QuickBooks Online

Votre utilisation de l'intégration QuickBooks est aussi régie par les conditions propres à Intuit. Nous ne sommes pas affiliés à Intuit. QuickBooks^® est une marque déposée d'Intuit Inc.

6. Exclusion de garantie

LE SERVICE EST FOURNI « TEL QUEL » ET « SELON LA DISPONIBILITÉ », SANS GARANTIE D'AUCUNE SORTE, EXPRESSE OU IMPLICITE, Y COMPRIS, SANS S'Y LIMITER, LES GARANTIES IMPLICITES DE QUALITÉ MARCHANDE, D'ADÉQUATION À UN USAGE PARTICULIER ET D'ABSENCE DE CONTREFAÇON. Nous ne garantissons pas que le Service sera ininterrompu ni exempt d'erreurs, ni que les données synchronisées avec des systèmes tiers le seront sans erreurs.

7. Limitation de responsabilité

DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, NOUS NE SERONS EN AUCUN CAS RESPONSABLES DE DOMMAGES INDIRECTS, ACCESSOIRES, SPÉCIAUX, CONSÉCUTIFS OU PUNITIFS, NI D'UNE PERTE DE PROFITS OU DE REVENUS, QU'ELLE SOIT SUBIE DIRECTEMENT OU INDIRECTEMENT, NI D'UNE PERTE DE DONNÉES, D'USAGE, D'ACHALANDAGE OU D'AUTRES PERTES IMMATÉRIELLES DÉCOULANT DE VOTRE UTILISATION OU DE VOTRE INCAPACITÉ À UTILISER LE SERVICE. Vous reconnaissez qu'il vous incombe de vérifier l'exactitude des données synchronisées entre GNAK Assist et votre système comptable.

8. Résiliation

Vous pouvez cesser d'utiliser le Service à tout moment. Vous pouvez déconnecter QuickBooks depuis les réglages du Service ou depuis QuickBooks même, et demander la fermeture de votre compte. Nous pouvons suspendre ou résilier votre accès si vous enfreignez le présent Contrat.

9. Modifications du présent Contrat

Nous pouvons mettre à jour le présent Contrat de temps à autre. Les changements importants seront communiqués au moyen de l'application ou par courriel. L'utilisation continue du Service après une mise à jour vaut acceptation du Contrat révisé.

End User License Agreement

This End User License Agreement ("Agreement") is between you ("you" or "User") and GNAK Assist ("we" or the "Service"), a product of GNAK.CA. By creating an account or using the Service, you agree to the terms below.

1. Service

GNAK Assist is a cloud management platform (ERP) for construction contractors, notably in the electrical trade: quotes, projects, timesheets, invoicing, product catalog and purchasing. The Service includes optional integrations, including synchronization with QuickBooks Online ("QuickBooks") through the OAuth 2.0 credentials you authorize.

2. Your account

You are responsible for keeping your account credentials confidential and for any activity under your account. Notify us immediately of any unauthorized use.

3. Your data

You retain ownership of all data you entrust to the Service — your clients, projects, documents, products and records, as well as your QuickBooks company data when you connect the integration. We process this data solely to provide the features of the Service you use. We do not sell or share your data with third parties unless required by law.

4. Acceptable use

You agree not to:

• use the Service for unlawful purposes, or — when using the accounting synchronization — in violation of Intuit's QuickBooks Online terms of service;
• attempt to gain unauthorized access to the Service or to other users' or other companies' data;
• reverse engineer, decompile or otherwise attempt to derive the Service's source code, except as permitted by law;
• harm or disrupt the Service or its infrastructure.

5. QuickBooks Online

Your use of the QuickBooks integration is also governed by Intuit's own terms. We are not affiliated with Intuit. QuickBooks^® is a registered trademark of Intuit Inc.

6. Disclaimer of warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, nor that data synchronized with third-party systems will be synchronized without errors.

7. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. You acknowledge that it is your responsibility to verify the accuracy of data synchronized between GNAK Assist and your accounting system.

8. Termination

You may stop using the Service at any time. You can disconnect QuickBooks from the Service's settings or from QuickBooks itself, and request the closure of your account. We may suspend or terminate your access if you breach this Agreement.

9. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be communicated through the application or by email. Continued use of the Service after an update constitutes acceptance of the revised Agreement.
